Incorporating a Company

   

 

   

If you wish to register limited company you will need to file the following documents with Companies House (alternatively you can use a company formation agent who will do this for you):

Form 10

This form should contain details of the the Registered Office and the details of the Secretary and Directors.

Form 12

Form 12 is the declaration of Compliance with the Companies Act 1985 with regard to the company registration. This must be signed in the presence of a suitable person  (Solicitor, Commissioner for Oaths, Notary Public or Justice of the Peace) once the Memorandum and Articles of Association have been completed.

Memorandum of Association

This document states the company name, where the Registered Office is to be (England and Wales, Scotland or Wales) and what the objects of the company are.

Articles of Association.

This gives the internal management affairs and running of the company. Each subscriber to the shares should sign this.

 

Once these four documents have been completed they should be returned to Companies House together with the relevant filing fee.
